Terms of Use

Welcome to OuterTalk LLC ("OuterTalk," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the OuterTalk platform, including our website (outertalk.com), mobile applications (iOS and Android), and all features, content, and services provided through them (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.

1. Definitions

"Account" means a unique user account created to access the Platform's services.

"Ark" means the interactive globe and timeline feature that allows users to navigate posts, polls, and consensus data by geography, category, and time.

"Category" means a predefined classification used to organize content on the Platform.

"Community Note" means a user-submitted comment on a Smart Poll that provides context, analysis, or perspective on a poll question, and which may be endorsed or rated by other users.

"Endorsement" means a user action indicating support for a Community Note, used to rank notes and determine visibility.

"Gold Tier" means a verified account status available to businesses and organizations, including parent accounts and linked child (employee) accounts.

"Poll" means a user-created poll where other users can vote on options. No money or virtual currency is involved in user Polls.

"Smart Poll" means an AI-generated poll created by Yon AI in the Smart Market, where users may place positions using Virtual Currency.

"Smart Market" means the section of the Platform where Smart Polls are displayed and where users may place Virtual Currency positions.

"Talk" means a user-created text or media post on the Platform.

"Topic" means a user-created or approved tag used to cross-categorize content across categories.

"User Content" means any content submitted, posted, or displayed by users, including Talks, Polls, comments, Community Notes, media, and profile information.

"Virtual Currency" means the in-platform currency (displayed as "USD") used within the Smart Market. Virtual Currency has no real-world monetary value, cannot be redeemed for cash, and is provided solely for entertainment and engagement purposes during the beta period.

"Yon AI" means OuterTalk's artificial intelligence system that generates Smart Polls, summaries, and other AI-powered content on the Platform.

2. Acceptance of Terms

By creating an Account, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and OuterTalk LLC. We may update these Terms at any time by posting the revised version on the Platform. Your continued use after changes are posted constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

3. Eligibility

You must be at least 18 years old to use the Platform. The Platform includes the Smart Market, an entertainment-only prediction feature, and is intended for adults. By creating an Account or using the Platform, you represent and warrant that you are at least 18 years of age. If we learn that a user is under 18, we may terminate their Account or restrict their access without notice.

4. Account Registration and Security

To access certain features, you must create an Account by providing accurate and complete information. You may register using email with one-time passcode verification, or through supported third-party authentication providers (such as Google or X). You are solely responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You agree to notify us immediately of any unauthorized use. OuterTalk reserves the right to suspend or terminate Accounts that contain inaccurate, fraudulent, or misleading information, or that violate these Terms.

5. Platform Services

OuterTalk provides a social platform for public discourse, community engagement, and opinion sharing. The Platform includes, but is not limited to, the following features:

OuterTalk reserves the right to modify, suspend, or discontinue any feature or service at any time without prior notice.

6. Virtual Currency and Smart Market

6.1 Nature of Virtual Currency

The Platform provides users with Virtual Currency for use within the Smart Market. Virtual Currency is displayed as "USD" for convenience but has no real-world monetary value. Virtual Currency cannot be purchased with real money, cannot be redeemed or exchanged for real currency, goods, or services, and does not represent any stored value. Virtual Currency balances are provided solely for entertainment and engagement purposes. OuterTalk reserves the right to modify, reset, or remove Virtual Currency balances at any time.

6.2 Smart Market Participation

Users may place positions on Smart Poll outcomes using their Virtual Currency balance. The Smart Market uses a pool-based system where positions are placed on poll options. A quadratic decay mechanism may reduce the maximum position size as a poll approaches its closing time. The Smart Market is not gambling, securities trading, or a financial instrument. No real money is at stake. OuterTalk makes no representations regarding the accuracy, reliability, or outcomes of any Smart Poll.

6.3 Settlement and Fees

When a Smart Poll concludes, it may be settled with a winning outcome. Virtual Currency payouts are distributed to users who positioned on the winning outcome based on their proportional share of the pool. A platform fee may be deducted from the pool upon settlement. OuterTalk's settlement decisions are final and binding.

6.4 No Financial Advice

Nothing on the Platform constitutes financial, investment, legal, or tax advice. Smart Polls are opinion-based engagement tools, not financial instruments. You should not rely on Smart Poll outcomes or positions for any real-world financial decisions.

7. AI-Generated Content

Yon AI and other AI systems on the Platform generate Smart Polls, summaries, and analytical content. AI-generated content is produced algorithmically and may not be accurate, complete, or unbiased. OuterTalk does not guarantee the accuracy, reliability, or objectivity of any AI-generated content. AI-generated content is clearly identified on the Platform and should not be treated as authoritative news, fact, or professional advice. Users are responsible for evaluating AI-generated content with their own judgment.

8. User Content

8.1 Responsibility

You are solely responsible for all User Content you submit, post, or display on the Platform. User Content must not violate any applicable law, regulation, or third-party rights. OuterTalk does not endorse, verify, or assume responsibility for any User Content.

8.2 License Grant

By submitting User Content, you grant OuterTalk a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating, promoting, and improving the Platform. This license persists for as long as the content remains on the Platform and for a reasonable period after removal to accommodate caching, backups, and archival processes.

8.3 Content Removal

OuterTalk may remove, edit, or restrict access to any User Content at its sole discretion, including content that violates these Terms, applicable law, or our community guidelines. We are not obligated to monitor all User Content but reserve the right to do so.

8.4 Media Content

Users may upload images and videos to the Platform. You represent and warrant that you own or have the necessary rights and permissions to upload and share any media content, and that such content does not infringe on any third party's intellectual property, privacy, or other rights.

9. Prohibited Conduct

You agree not to, and will not assist or enable others to:

Violations may result in immediate Account suspension or termination, forfeiture of Virtual Currency, content removal, and/or reporting to law enforcement authorities, at OuterTalk's sole discretion.

10. Intellectual Property

The Platform, including its design, features, code, graphics, logos, trademarks, and all content created by OuterTalk (excluding User Content), is the exclusive property of OuterTalk LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our prior written consent. The OuterTalk name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of OuterTalk LLC. You may not use such marks without our prior written permission.

11. Donations and Comment Rewards

The Platform may include features allowing users to donate to polls, with funds distributed as Comment Rewards to users whose comments receive the most endorsements. Donations are processed by third-party payment processors (such as Stripe) and are subject to their terms and conditions. OuterTalk does not hold or process funds directly. Donations are generally non-refundable. Comment Reward payouts are subject to verification requirements, minimum payout thresholds, and processing timelines as determined by the payment processor. OuterTalk is not a bank, financial institution, or charity, and does not guarantee the success of any poll or reward distribution.

12. Third-Party Services

The Platform integrates with third-party services including, but not limited to, authentication providers (Google, X), payment processors (Stripe), cloud infrastructure (Supabase), mapping services, and AI services. Your use of these third-party services is subject to their respective terms of service and privacy policies. OuterTalk is not responsible for the actions, content, or policies of any third-party service. Links to third-party websites or services do not imply endorsement.

13. Blockchain and Future Features

OuterTalk may introduce blockchain-based features, including but not limited to on-chain consensus logging, token-based systems, and smart contracts deployed on supported networks (such as Base L2). These features, if and when introduced, will be subject to additional terms and disclosures. Blockchain transactions are generally irreversible. You acknowledge and accept the inherent risks associated with blockchain technology, including but not limited to network congestion, smart contract vulnerabilities, and regulatory uncertainty. OuterTalk does not guarantee the value, utility, or continued availability of any token or blockchain-based feature.

14. Location Data and the Ark

Certain features, including the Ark and governance tagging, use geographic data associated with posts and user profiles. Location data may be provided voluntarily by users or derived from content metadata. By using location-based features, you consent to the collection and display of geographic information as described in our Privacy Policy. You may choose not to provide location data, but certain features may be limited as a result.

15. Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, store, and share your information. Talks, Polls, Smart Poll positions, and Community Notes are publicly visible. Profile information you provide may be visible to other users. Virtual Currency balances and position history may be visible within the Platform.

16. Account Termination

OuterTalk may suspend or terminate your Account at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Platform ceases immediately. Virtual Currency balances are forfeited upon termination. Any provisions of these Terms that by their nature should survive termination will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and dispute resolution.

17. Disclaimers

THE PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. OuterTalk expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. OuterTalk does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. OuterTalk does not warrant the accuracy, completeness, or reliability of any content, including AI-generated content, User Content, Smart Poll outcomes, or Virtual Currency balances.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUTERTALK LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

IN NO EVENT SHALL OUTERTALK'S TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID TO OUTERTALK IN THE SIX (6) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

19. Indemnification

You agree to indemnify, defend, and hold harmless OuterTalk LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights, including intellectual property, privacy, or other proprietary rights.

20. Dispute Resolution

20.1 Informal Resolution

Before filing any formal legal action, you agree to first contact OuterTalk at support@outertalk.com and attempt to resolve the dispute informally for at least thirty (30) days.

20.2 Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Bergen County, New Jersey. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

20.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive the right to participate in a class action lawsuit or class-wide arbitration against OuterTalk.

20.4 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Bergen County, New Jersey.

22. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

23. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and OuterTalk regarding the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.

24. No Waiver

OuterTalk's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of OuterTalk.
