Terms of Use

Welcome to OuterTalk LLC, a New Jersey limited liability company ("OuterTalk," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the OuterTalk platform, including our website (outertalk.com), our mobile apps, and all features, content, and services provided through them (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.

1. Definitions

"Account" means a unique user account created to access the Platform's services.

"Ark" means the interactive globe and timeline feature that allows users to navigate posts, polls, and consensus data by geography, category, and time.

"Category" means a predefined classification used to organize content on the Platform.

"Community Note" means a user-submitted comment on a Smart Poll that provides context, analysis, or perspective on a poll question, and which may be endorsed or rated by other users.

"Endorsement" means a user action indicating support for a Community Note, used to rank notes and determine visibility.

"Gold Tier" means a verified account status available to businesses and organizations, including parent accounts and linked child (employee) accounts.

"Poll" means a user-created poll where other users can vote on options. No money or virtual currency is involved in user Polls.

"Smart Poll" means a poll in the Smart Forum, generated by Yon AI or written by an approved Investigator (a user OuterTalk has approved to write Smart Polls), whose options users may back with Virtual Currency.

"Smart Forum" means the section of the Platform where Smart Polls are displayed and where users may back Smart Poll options with Virtual Currency.

"Talk" means a user-created text or media post on the Platform.

"Topic" means a user-created or approved tag used to cross-categorize content across categories.

"User Content" means any content submitted, posted, or displayed by users, including Talks, Polls, comments, Community Notes, media, and profile information.

"Virtual Currency" means the in-platform currency (displayed as "Credits" with the ✦ mark) used within the Smart Forum. Virtual Currency has no real-world monetary value, cannot be redeemed for cash, and is provided solely for entertainment and engagement purposes.

"Yon AI" means OuterTalk's artificial intelligence system that generates Smart Polls, summaries, and other AI-powered content on the Platform.

2. Acceptance of Terms

By creating an Account, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and OuterTalk LLC. We may update these Terms at any time by posting the revised version on the Platform. Your continued use after changes are posted constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

3. Eligibility

You must be at least 18 years old to use the Platform. The Platform includes the Smart Forum, an entertainment-only opinion feature in which users back poll options with Credits that have no cash value, and is intended for adults. By creating an Account or using the Platform, you represent and warrant that you are at least 18 years of age. If we learn that a user is under 18, we may terminate their Account or restrict their access without notice.

4. Account Registration and Security

To access certain features, you must create an Account by providing accurate and complete information. You may register using email with one-time passcode verification, or through Sign in with Apple. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You agree to notify us immediately of any unauthorized use. OuterTalk may restrict Accounts that contain inaccurate, fraudulent, or misleading information, or that violate these Terms, as described in Section 9.

5. Platform Services

OuterTalk provides a social platform for public discourse, community engagement, and opinion sharing. The Platform includes, but is not limited to, the following features:

OuterTalk reserves the right to modify, suspend, or discontinue any feature or service at any time without prior notice.

6. Virtual Currency and Smart Forum

6.1 Nature of Virtual Currency

The Platform provides users with Virtual Currency for use within the Smart Forum and Chip In. Virtual Currency is displayed as "Credits" (the ✦ mark) and has no real-world monetary value. Virtual Currency cannot be purchased with real money, cannot be redeemed or exchanged for real currency, goods, or services, and does not represent any stored value. Virtual Currency balances are provided solely for entertainment and engagement purposes. OuterTalk reserves the right to modify, reset, or remove Virtual Currency balances at any time. Except as Section 9 describes for fake or duplicate accounts, any such change applies to all users alike and is never used as a penalty.

6.2 Smart Forum Participation

Users may back Smart Poll options with their Virtual Currency balance. The Credits committed to a poll are combined and shared among those who backed the winning option (Section 6.3). A quadratic decay mechanism may reduce the most a user can commit as a poll approaches its closing time. The Smart Forum is not gambling, securities trading, or a financial instrument. No real money is involved. OuterTalk makes no representations regarding the accuracy, reliability, or results of any Smart Poll. The same Virtual Currency may be used to back a verdict on a place's quarterly governance scorecard: anyone may back a side, the place's residents decide which side prevails, and a question in which too few residents take part, or that ends level, is refunded to everyone. No fee is taken on a scorecard verdict: those who backed the prevailing side get back what they committed plus a share of the other side's Credits in proportion to what they committed, credited when the quarter settles.

6.3 Settlement and Fees

A Smart Poll is decided by the Credits its participants commit, not by any real-world event. When a poll closes, the option backed by the most Credits wins; if options tie on Credits, the tied option backed by more users wins; if they also tie on users, all Credits are returned. A Smart Poll on a bill before Congress or a state legislature follows the same rules, with one more: if fewer than 5 people have backed it when it closes, all Credits are returned. On such a poll, Yes means you support the bill as written and No means you oppose it; the poll is decided by its backers, not by what the legislature does. OuterTalk may also decide or void a poll by hand. Users who backed the winning option share the poll's Credits in proportion to the Credits they committed, after a 3% fee in Credits. Of that fee, 1% of the poll's Credits goes to the author of its top Community Note, if one qualifies: the note, written before the poll closed, that other users rated most helpful, with more of them endorsing it than marking it lacking, by an author who has confirmed they are 18 or older. For a poll written by an Investigator, 0.5% goes to its author. The Platform keeps the rest of the fee, including that 1% when no note qualifies. Winners claim their share in the app; the note's author and the Investigator are credited when the poll settles. OuterTalk's settlement decisions are final and binding.

6.4 No Financial Advice

Nothing on the Platform constitutes financial, investment, legal, or tax advice. Smart Polls are opinion-based engagement tools, not financial instruments. You should not rely on Smart Poll results or the options users back for any real-world financial decisions.

6.5 Chip In

Chip In is a simulation. Users may file plans for reusing a local property, vote on them, and pledge Virtual Currency to a pot for a chosen plan. If a pot does not fill, everyone gets back the Virtual Currency they put in; if it fills, that Virtual Currency is spent. Pledging, voting or filing a plan gives no one ownership of, a share in, or a claim on any business, property or money. OuterTalk buys nothing and collects no funds. Dollar figures in Chip In are real-world estimates, shown for context. In a pot, the scale of one Credit for every $1,000 of a plan’s estimated cost only sizes the simulation; it gives Virtual Currency no real-world monetary value (Section 6.1).

7. AI-Generated Content

Yon AI and other AI systems on the Platform generate summaries, analytical content, and the Smart Polls not written by approved Investigators. AI-generated content is produced algorithmically and may not be accurate, complete, or unbiased. OuterTalk does not guarantee the accuracy, reliability, or objectivity of any AI-generated content. AI-generated content is clearly identified on the Platform and should not be treated as authoritative news, fact, or professional advice. Users are responsible for evaluating AI-generated content with their own judgment.

8. User Content

8.1 Responsibility

You are solely responsible for all User Content you submit, post, or display on the Platform. User Content must not violate any applicable law, regulation, or third-party rights. OuterTalk does not endorse, verify, or assume responsibility for any User Content.

8.2 License Grant

By submitting User Content, you grant OuterTalk a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating, promoting, and improving the Platform. This license persists for as long as the content remains on the Platform and for a reasonable period after removal to accommodate caching, backups, and archival processes.

8.3 Content Removal

OuterTalk may remove, edit, or restrict access to any User Content at its sole discretion, including content that violates these Terms, applicable law, or our community guidelines. We are not obligated to monitor all User Content but reserve the right to do so.

8.4 Media Content

Users may upload images and videos to the Platform. You represent and warrant that you own or have the necessary rights and permissions to upload and share any media content, and that such content does not infringe on any third party's intellectual property, privacy, or other rights.

9. Prohibited Conduct

OuterTalk has zero tolerance for objectionable content and abusive users. Content that violates these standards will be removed, and the accounts responsible for it restricted. You can report objectionable content or block an abusive user at any time, and we act on reports of objectionable content by removing the content and ejecting the user who provided it, typically within 24 hours. Ejecting means a visible restriction, not a deleted account: we tell you which rule was broken and quote the item, and your Account becomes read-only. While it is read-only you can still read everything, see your data and ask us for a copy of it, delete your Account, and appeal, but you cannot post, comment, vote, or back poll options. Your Account, data and Virtual Currency remain yours.

Ordinary violations follow a ladder, and each strike counts for 12 months: a warning, then 30 days read-only, then 30 days again, then read-only until an appeal is granted. Credible threats of violence, sexual content involving a minor, publishing someone's private information, selling illegal goods, and fake or coordinated accounts go straight to read-only. Sexual content involving a minor is also reported to the National Center for Missing & Exploited Children, as US law requires. You can appeal a decision from the notice in the app within 30 days. A person reviews every appeal within 7 days, and if it is granted, the strike is lifted and no longer counts, the restriction ends and any removed content is restored. If your Account is read-only until an appeal is granted, you may ask for a fresh review every 6 months.

You agree not to, and will not assist or enable others to:

Violations may result in content removal, restriction of your Account as described above, the voiding of votes, endorsements, ratings and Credits cast through fake or duplicate accounts and of any Credits earned through them, and/or reporting to law enforcement authorities.

10. Intellectual Property

The Platform, including its design, features, code, graphics, logos, trademarks, and all content created by OuterTalk (excluding User Content), is the exclusive property of OuterTalk LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform or its content without our prior written consent. The OuterTalk name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of OuterTalk LLC. You may not use such marks without our prior written permission.

11. No Payments

The Platform offers no way to purchase, donate, tip, pay, or receive money, and Virtual Currency cannot be bought, sold, or exchanged for anything of value. OuterTalk is not a bank, financial institution, payment service, or charity.

12. Third-Party Services

The Platform integrates with third-party services including, but not limited to, authentication providers (Apple), cloud infrastructure (Supabase), analytics, crash reporting and push notification delivery (Google Firebase), mapping services (Mapbox and Google Maps Platform), and AI services (OpenAI). Your use of these third-party services is subject to their respective terms of service and privacy policies. OuterTalk is not responsible for the actions, content, or policies of any third-party service. Links to third-party websites or services do not imply endorsement.

13. Blockchain and Future Features

OuterTalk may introduce blockchain-based features, including but not limited to on-chain consensus logging, token-based systems, and smart contracts deployed on supported networks (such as Base L2). These features, if and when introduced, will be subject to additional terms and disclosures. Blockchain transactions are generally irreversible. You acknowledge and accept the inherent risks associated with blockchain technology, including but not limited to network congestion, smart contract vulnerabilities, and regulatory uncertainty. OuterTalk does not guarantee the value, utility, or continued availability of any token or blockchain-based feature.

14. Location Data and the Ark

Certain features, including the Ark and governance tagging, use geographic data associated with posts and user profiles. Location data may be provided voluntarily by users or derived from content metadata. By using location-based features, you consent to the collection and display of geographic information as described in our Privacy Policy. You may choose not to provide location data, but certain features may be limited as a result.

15. Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, store, and share your information. Talks, Polls, the Smart Poll options you back, and Community Notes are publicly visible. Profile information you provide may be visible to other users. Virtual Currency balances and backing history may be visible within the Platform.

16. Account Closure

You can delete your Account at any time (see Section 5.2 of the Privacy Policy). OuterTalk does not close accounts as a penalty: breaking these Terms leads to the restrictions described in Section 9, and your Account, data and Virtual Currency remain yours. We may close an Account only if it belongs to someone under 18, or where the law requires it. When an Account is closed or deleted, its Virtual Currency balance ends with it. Any provisions of these Terms that by their nature should survive the end of your use of the Platform will survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and dispute resolution.

17. Disclaimers

THE PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. OuterTalk expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. OuterTalk does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. OuterTalk does not warrant the accuracy, completeness, or reliability of any content, including AI-generated content, User Content, Smart Poll results, or Virtual Currency balances.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUTERTALK LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

IN NO EVENT SHALL OUTERTALK'S TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID TO OUTERTALK IN THE SIX (6) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

19. Indemnification

You agree to indemnify, defend, and hold harmless OuterTalk LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights, including intellectual property, privacy, or other proprietary rights.

20. Dispute Resolution

20.1 Informal Resolution

Before filing any formal legal action, you agree to first contact OuterTalk at support@outertalk.com and attempt to resolve the dispute informally for at least thirty (30) days.

20.2 Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Bergen County, New Jersey. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

20.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive the right to participate in a class action lawsuit or class-wide arbitration against OuterTalk.

20.4 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Bergen County, New Jersey.

22. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

23. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and OuterTalk regarding the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.

24. No Waiver

OuterTalk's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of OuterTalk.
